These Terms of Service ("Terms") constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you" or "Merchant") and Globapay Holdings Ltd. ("Globapay", "we", "us", or "our"), regarding your access to and use of the Globapay website and digital platform (the "Services").

Globapay Holdings Ltd. is a company registered in Ireland (Company Number: 781644) with an address at 20 Harcourt St, Dublin D02 H36, Ireland. By accessing the Services, you acknowledge that you have read, understood, and agree to be bound by all of these Terms. If you do not agree with all of these Terms, you are expressly prohibited from using the Services.

Globapay provides digital infrastructure for issuance, management, and redemption of digital value products, including gift cards and store credit. We strive to maintain high availability of our Services; however, we do not guarantee uninterrupted access.

We reserve the right to modify, suspend, or discontinue any part of the Services at any time without notice. We will not be liable if all or any part of the Services is unavailable at any time or for any period.

As a Merchant using Globapay, you agree to:

• Provide accurate, current, and complete information during registration.
• Maintain account credential security and notify us of unauthorized use.
• Honor valid value instruments issued via the platform according to stated terms.
• Comply with consumer protection, AML, and tax laws in your jurisdiction.
• Refrain from using the platform for fraudulent or illegal activity.

Use of the platform is subject to fees outlined in your pricing plan or service agreement. All fees are non-refundable unless otherwise stated.

Unless otherwise specified, fees are exclusive of VAT and applicable taxes. You are responsible for taxes associated with your use of the Services. We reserve the right to change fees upon 30 days' notice.

The Services and related content, features, and functionality are owned by Globapay Holdings Ltd., its licensors, or content providers and are protected by Irish and international intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to use the Services for internal business operations.

Each party agrees to protect the other's confidential information with the same degree of care used for its own.

Processing of personal data is governed by our Privacy Policy, in compliance with GDPR and Irish data protection laws.

The Services are provided on an "as is" and "as available" basis. We disclaim all warranties, express or implied, including merchantability, fitness for purpose, and non-infringement.

We do not warrant uninterrupted, timely, secure, or error-free service.

To the maximum extent permitted by law, Globapay Holdings Ltd. shall not be liable for indirect, incidental, special, consequential, or punitive damages, or losses of profits, revenues, data, use, goodwill, or other intangible losses.

Total liability for claims relating to these Terms or Services shall not exceed amounts paid by you for the Services in the six (6) months preceding the event giving rise to the claim.

You agree to defend, indemnify, and hold harmless Globapay Holdings Ltd., its affiliates, licensors, and service providers from claims, liabilities, damages, losses, costs, and reasonable legal fees arising out of your violation of these Terms or use of the Services.

We may terminate or suspend access to all or part of the Services immediately, without notice or liability, including for breach of these Terms.

Upon termination, your right to use the Services ceases immediately. Clauses that should survive termination will survive.

These Terms and any dispute arising from them are governed by the laws of Ireland. Courts of Ireland shall have exclusive jurisdiction.

We may revise these Terms at our discretion. Updates are effective when posted. Continued use of the Services constitutes acceptance of revised Terms.
